1.  Introduction   

This Agreement (the “Agreement”) constitutes the complete and legally binding terms and conditions governing your access to and use of services provided by WowIsraelTours, (“the Company”, “we,” “us,” “our”). By booking, participating in, or otherwise engaging with our services, including tours, transportation, accommodations, or related activities (collectively, the “Services”), you the Client, agree to be bound by these Terms and Conditions. If you do not agree to these terms, you must not use or participate in our Services.   

2. Definitions   

“Booking” refers to the reservation made by the Client for a specific Service or tour.   “Confirmation” refers to the electronic or physical acknowledgment issued by the Company confirming the booking details.   “Force Majeure” includes events beyond the reasonable control of the Company, such as natural disasters, war, terrorism, government actions, pandemics, strikes, or other unforeseen circumstances that prevent the performance of contractual obligations.   

3. Booking Procedure and Payment Terms   

3.1 Booking Confirmation. All bookings shall be deemed confirmed only upon receipt of full payment or deposit, as specified at the time of reservation, and upon issuance of a confirmation by the Company. The Company reserves the right to refuse or cancel any booking at its sole discretion.   

3.2 Payment. All payments shall be made via designated methods, including credit/debit cards, bank transfers, or other accepted forms. Prices are quoted in NIS, inclusive/exclusive of applicable taxes, unless explicitly stated otherwise.   

3.3 Price Changes. Prices are subject to change without prior notice; however, prices for confirmed bookings shall not be altered once the booking has been confirmed, except in cases of force majeure or currency fluctuations.   

3.4 Additional Fees. Clients shall be responsible for any additional costs incurred due to changes requested after booking confirmation, including but not limited to extra services, optional activities, or accommodation upgrades.   

4. Cancellation, Refunds, and Rescheduling Policies   

4.1 Client-Initiated cancellations. All cancellations must be submitted in writing via email or other approved communication channels. Refund eligibility and amounts depend on the timing of cancellation relative to the scheduled Service:   Within 7 days of Booking and more than 14 days prior to beginning of Service date, full refund. Less than 14 days prior to beginning of Service date: no refund unless otherwise specified.   

4.2 The Company-Initiated Cancellations or Rescheduling. In cases where the Company cancels or reschedules a Service due to operational, safety, or unforeseen circumstances, Clients will be entitled to a full refund or alternative arrangements, including rescheduling or credit vouchers.   

4.3 Force Majeure. The Company shall not be liable for any failure to perform or delay caused by Force Majeure events. In such circumstances, we reserve the right to cancel, postpone, or reschedule Services without liability.   

4.4 Refund Processing. Refunds shall be processed via the original payment method within 14 days of cancellation or refund approval. Additional bank or transaction fees may apply.   

5. Client Responsibilities and Conduct   

5.1 Punctuality. Clients shall arrive at designated meeting points at the specified times. Failure to do so may result in missed services without entitlement to refunds.   

5.2 Behaviour and Conduct. Clients shall behave responsibly and respectfully towards staff, other clients, and the environment. The Company reserves the right to refuse service or expel Clients engaging in misconduct, unsafe behaviour, or illegal activities, without refund or compensation.   

5.3 Medical and Health Disclosures. Clients shall disclose any medical conditions, allergies, disabilities, or special needs at the time of booking. It is the Client’s responsibility to ensure they are fit for the activities involved. The Company reserves the right to refuse participation if safety concerns arise.   

5.4 Insurance. Clients are strongly advised to obtain comprehensive travel, health, and accident insurance covering the duration and nature of the Services. The Company shall not be liable for any injuries, illnesses, or damages that could have been mitigated with proper insurance coverage.   

6. Health and Safety Policies   

6.1 Safety Instructions. Clients shall adhere strictly to safety guidelines, instructions, and warnings provided by the Company staff, or authorized representatives.   

6.2 Risk Acknowledgment. Participation in tours, travel and tourist activities always involves inherent risk. Clients acknowledge this and agree to participate voluntarily, and at their own risk.   

6.3 Emergency Procedures. In case of emergency, Clients shall follow instructions from staff and cooperate fully. The Company reserves the right to terminate participation if safety is compromised.   

7. Liability and Indemnity   

7.1 Limitation of Liability. To the maximum extent permitted by law, the Company, its affiliates, employees, and agents shall not be liable for any injury, damage, loss, delay, or inconvenience caused directly or indirectly by circumstances beyond our reasonable control, including Force Majeure events, acts of third parties, or Client misconduct.   

7.2 Indemnification. Clients shall indemnify and hold harmless the Company, its affiliates, employees, and agents from and against any claims, damages, liabilities, costs, or expenses arising out of their participation, breach of these Terms, or misconduct.   

7.3 Insurance. Clients acknowledge that they are responsible for arranging sufficient insurance coverage for personal injury, loss, or damages incurred during the Services.   

8. Privacy and Data Protection   

8.1 Data Collection. Personal data collected during bookings or Service participation shall be processed in accordance with our Privacy Policy, which is incorporated herein.   

8.2 Data Use. We shall use your data solely for purposes related to your booking, Service delivery, and communication, and shall not disclose it to third parties without your consent unless required by law.

9. Intellectual Property Rights   

All content, trademarks, logos, images, and materials related to the Company are protected under intellectual property laws and are owned or licensed by us. No content may be reproduced, distributed, or used without prior written consent.   

10. Force Majeure   

The Company shall not be held liable for failure or delay in performance caused by events beyond our reasonable control, including natural disasters, acts of terrorism, war, governmental restrictions, pandemics, or other Force Majeure events. In such cases, we reserve the right to terminate, suspend, or modify services without liability.   

11. Governing Law and Jurisdiction   

This Agreement shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts in the State of Israel.   

12. Dispute Resolution   

In the event of a dispute, Clients agree to first attempt to resolve the matter amicably with the Company. If resolution cannot be achieved, disputes shall be settled through arbitration or litigation as appropriate under applicable law.   

13. Miscellaneous Provisions   

13.1 Entire Agreement. These Terms and Conditions constitute the entire agreement between the Client and the Company, and supersede all prior negotiations, representations, or agreements.   

13.2 Severability. If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, that provision shall be severed, and the remaining provisions shall remain in full force and effect.   

13.3 Amendments. We reserve the right to modify or update these Terms at any time. Such modifications shall become effective immediately upon posting on our website. Continued use of the Services constitutes acceptance of the revised terms.   

13.4 Waiver. Failure to enforce any provision shall not constitute a waiver of our rights.   

13.5 Assignment. Clients may not assign or transfer their rights or obligations under these Terms without prior written consent.
